Introduction
1.1 About these Terms
These Terms and Conditions ("Terms") govern access to and use of Vyler, including the creation and management of user accounts, the initiation and acceptance of transactions, payment processing through integrated services, delivery, inspection, dispute resolution, refunds, the release of transaction funds and the use of associated features.
Vyler is operated by CLEARHOLD (Pty) Ltd ("CLEARHOLD", "Vyler", "we", "us" or "our").
These Terms apply to every individual and business that registers for, accesses or uses Vyler, including buyers, sellers, authorised representatives of businesses and any other permitted user.
Vyler is designed to facilitate transactions between buyers and sellers by providing transaction-management functionality, configurable delivery and inspection periods, transaction evidence collection, dispute review and integration with third-party services responsible for particular transaction functions.
1.2 Acceptance of these Terms
By registering for an account, accepting these Terms electronically, creating or accepting a transaction, or otherwise using a feature that requires acceptance of these Terms, you agree to be bound by the applicable provisions.
If you do not agree to these Terms, you must not create an account, accept a transaction or use the relevant services.
If you use Vyler on behalf of a company, partnership, organisation or other legal entity, you confirm that you are authorised to act for that entity. The entity will be bound by the applicable Terms to the extent permitted by law.
1.3 Relationship between the Terms and individual transactions
These Terms govern the relationship between Vyler and its users and establish the platform rules applicable to transactions conducted through Vyler.
Each transaction also has its own transaction-specific terms, which may include:
• The identity of the buyer and seller.
• The goods, services, deliverables or other subject matter of the transaction.
• The agreed base price.
• The applicable Vyler fee and the selected fee-allocation model.
• The delivery requirements.
• The inspection period.
• The transaction deadlines.
• Any milestones or other agreed conditions.
• Any additional conditions expressly accepted by both parties.
The transaction-specific terms must be read together with these Terms.
1.4 Legal rights
These Terms do not remove or restrict any right that cannot lawfully be excluded or limited under South African law. Where applicable, the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, the Protection of Personal Information Act 4 of 2013, the Financial Intelligence Centre Act 38 of 2001 and other applicable legislation may affect the rights and obligations of Vyler, buyers, sellers and service providers.

3
Eligibility and Age Requirements
3.1 Minimum age
Vyler is available only to individuals aged 18 years or older. You must be at least 18 years old when registering for an Account and when using Vyler. By registering, you confirm that you satisfy this requirement. Individuals under 18 may not independently operate Accounts under these Terms.
3.2 Business eligibility
A business may use Vyler through an authorised representative who is at least 18 years old and has the legal authority to act on its behalf. The business must be lawfully established where registration is required by applicable law, and its information must be accurate and verifiable.
3.3 Geographic and legal restrictions
Access to Vyler may be restricted where required by applicable law, sanctions, third-party service limitations, verification requirements or other legitimate compliance obligations.
3.4 Verification is mandatory
Every User must complete the applicable verification process through Didit before being permitted to use the relevant transaction functionality.
4
Account Registration and Verification
4.1 Accurate information
You must provide accurate, complete and current information when registering, completing verification, initiating a Transaction or responding to a verification request.
4.2 Identity verification through Didit
Vyler uses Didit for applicable identity-verification and related verification functions. These may include identity-document checks, face-liveness checks, identity-photo comparison, business-registration checks, beneficial-ownership checks and other relevant screening procedures.
4.3 Documents and personal information
Identity-document images and company-registration documents submitted through the applicable Didit workflow are processed through that service. Under Vyler's intended data-handling arrangement, those document images are not stored on Vyler's own servers. Vyler retains selected information and verification results needed to administer Accounts.
4.4 Failed, incomplete or inconsistent verification
If verification fails, remains incomplete or produces inconsistent information, Vyler may request additional clarification, require another verification attempt, restrict access to features, decline a Transaction or suspend the Account.
5
Account Security and Responsibility
5.1 Account security
You are responsible for maintaining reasonable security over your Account credentials and the devices and contact methods used to access your Account. You must not knowingly permit another person to use your Account to impersonate you or engage in prohibited activity.
5.2 Unauthorised activity
If you suspect that your Account has been compromised, you must notify Vyler promptly through support@vyler.co.za.
5.3 Account sharing
Accounts must not be transferred, sold or shared in a way that misrepresents the actual User or circumvents verification and security requirements.
5.4 Account responsibility
You remain responsible for actions taken through your Account to the extent those actions are attributable to you under applicable law and the circumstances.
6
The Relationship between Buyers, Sellers, Vyler and TradeSafe
6.1 The underlying transaction
The underlying commercial agreement is between the buyer and seller. Vyler provides the platform through which the parties can establish and manage those arrangements.
6.2 Vyler's role
Vyler provides transaction-management functionality, including: transaction creation and acceptance, recording agreed terms, configuring delivery and inspection periods, displaying fees, managing deadlines, supporting evidence submission, and administering the dispute-review process. Vyler does not become the buyer or seller merely because a Transaction is created through its platform.
6.3 TradeSafe's role
TradeSafe provides the protected-funds service integrated with Vyler. The buyer's payment is processed through the applicable payment flow, and the funds are handled through TradeSafe's service according to the applicable arrangement. Vyler does not represent that funds are held in a bank account owned by Vyler, or that Vyler itself physically holds all Protected Funds.
6.4 Transaction outcomes and fund movement
Vyler reviews Disputes and determines the applicable Transaction Outcome under these Terms and the agreed transaction conditions. The relevant outcome may require funds to be released to the seller, returned to the buyer or handled in another manner permitted by the applicable transaction arrangements.
7
Initiating a Transaction
7.1 Either party may initiate
A verified User may initiate a Transaction as either the buyer or the seller, subject to available functionality.
7.2 Required transaction details
The Transaction should specify: buyer and seller identity, goods or services description, Base Price, applicable Vyler Fee, selected fee-allocation model, delivery requirements, Delivery Period, Inspection Period, milestones, and additional terms.
7.3 Delivery and inspection periods
The proposed periods become part of the Transaction when accepted through the applicable workflow.
7.4 Acceptance or rejection
The receiving party may review the proposed Transaction and either accept or decline it.
7.5 Changes after acceptance
Once accepted, neither party may unilaterally change a material transaction term unless permitted by these Terms.
8
The Vyler Fee and Three Fee-Allocation Models
8.1 Fee disclosure
The applicable Vyler Fee will be displayed through the relevant Transaction or payment workflow.
8.2 Three fee-allocation models
Vyler supports three fee-allocation models:
• Model A: Buyer pays the entire Vyler Fee (Buyer pays Base Price + Vyler Fee; Seller receives full Base Price).
• Model B: Seller pays the entire Vyler Fee (Buyer pays Base Price; Seller receives Base Price minus Vyler Fee).
• Model C: Buyer and seller split the Vyler Fee equally (Buyer pays Base Price + 50% fee; Seller receives Base Price minus 50% fee).
8.3 Fee example (Assuming Base Price of R1,000 and total Vyler Fee of R30):
• Model A: Buyer pays R1,030 | Seller receives R1,000
• Model B: Buyer pays R1,000 | Seller receives R970
• Model C (50/50): Buyer pays R1,015 | Seller receives R985
8.4 Bank charges and deductions
A receiving bank may impose independent account fees or deductions under its own terms.
9
Payment and Protected Funds
9.1 Payment requirement
Where a Transaction requires advance payment, the buyer must complete the payment process. The seller is not required to commence delivery merely because the buyer indicated an intention to pay.
9.2 TradeSafe payment flow
The buyer's payment is processed through TradeSafe's protected-funds service.
9.3 No payment outside the agreed flow
Users must not misrepresent an external payment as a payment completed through Vyler.
9.4 Payment confirmation
The seller should rely on official payment confirmation before commencing delivery.
9.5 Funds remain subject to the Transaction
Protected Funds cannot be withdrawn or redirected outside the agreed Transaction workflow.
10
Seller Obligations
10.1 Accurate descriptions
The seller must accurately describe the goods or services, quantity, condition, delivery requirements, and expected completion date.
10.2 Performance
The seller must perform the obligations accepted in the Transaction in good faith.
10.3 Delivery evidence
The seller must provide appropriate delivery evidence: dispatch/tracking information, photographs, signed delivery confirmations, work completion reports, and communications.
10.4 Commencing delivery
The seller must not falsely indicate that delivery has begun before it has.
10.5 Completing delivery
The seller must complete delivery within the agreed Delivery Period.
10.6 Failure to deliver
If the seller fails to deliver, the buyer may request a refund or raise a Dispute.
11
Buyer Obligations
11.1 Accurate transaction information
The buyer must accurately describe requirements and provide required delivery instructions.
11.2 Payment
The buyer must pay the agreed amount under the selected fee model.
11.3 Inspection
The buyer must use the agreed Inspection Period to assess delivered goods or services promptly.
11.4 Available outcomes
The buyer may: Accept the Transaction or delivery, or Raise a Dispute.
11.5 Failure to respond
If the buyer fails to respond before the Inspection Period expires, the Transaction will proceed under the deadline release procedure.
11.6 No unjustified withholding
The buyer must not use the Dispute process solely to delay payment or obtain unjustified concessions.
12
Delivery, Inspection and Acceptance
12.1 Agreed periods
The Delivery Period and Inspection Period are selected for each Transaction and accepted by both parties.
12.2 Inspection begins
The Inspection Period begins when the seller marks delivery complete and submits required delivery evidence.
12.3 Acceptance
Acceptance by the buyer triggers the release of Protected Funds to the seller.
12.4 Inspection Period expires without a buyer decision
Where the Inspection Period expires without acceptance or dispute, the seller may request release of funds under the deadline procedure.
12.5 Buyer disputes before the deadline
Protected Funds remain secured while a dispute is reviewed.
12.6 Delivery deadline expires without completion
If delivery is missed, the buyer may request a refund or raise a Dispute.
13
Cancellations and Refunds
13.1 Seller cancellation before delivery begins
The seller may cancel a Transaction before commencing delivery where the buyer has paid, subject to applicable terms.
13.2 Buyer requests for cancellation
The buyer does not have an unrestricted right to unilaterally cancel a paid transaction merely due to change of mind.
13.3 Buyer refund requests
A buyer may request a refund through the workflow where the seller failed to deliver or where supported by a dispute outcome.
13.4 Refund decisions
Vyler evaluates the terms, evidence, deadlines, and circumstances to determine dispute outcomes and communicates with TradeSafe.
13.5 Refund processing
Refunds are processed through the TradeSafe protected-funds workflow to the original payment source.
14
Dispute Resolution and Adjudication
14.1 Who may initiate a Dispute
The buyer is permitted to initiate a formal Dispute within the Inspection Period. The seller may respond, provide evidence, and challenge inaccurate claims.
14.2 Purpose of Dispute process
To determine the Transaction Outcome based strictly on the relevant facts, agreed conditions, and submitted evidence.
14.3 Evidence required from both parties
Both parties must supply photographs, work dockets, delivery tracking, and written communications.
14.4 Evidence must relate to the Transaction
Unrelated, fabricated or misleading material is rejected.
14.5 Evidence-based decisions
Vyler conducts neutral, fact-based evaluations without favoring either party based on role.
14.6 Human review
Disputes are reviewed by authorised Vyler personnel.
14.7 Small claims court and external mechanisms
Platform dispute decisions do not extinguish constitutional access to courts, Small Claims Court, or formal arbitration.
15
Suspended Accounts and Active Transactions
15.1 Suspension does not determine the Dispute
Suspending an account for breach or investigation does not automatically decide who receives the Protected Funds.
15.2 Funds follow the applicable Transaction Outcome
Funds are determined by the evidence of performance, not by suspension status alone.
16
Prohibited Goods, Services and Conduct
16.1 General prohibition
Users must not facilitate unlawful activity, fraud, deception, or abuse.
16.2 Prohibited conduct
Identity fraud, fabricated delivery evidence, deadline manipulation, money laundering, and harassment are strictly prohibited.
16.3 Restricted categories
Prohibited goods include counterfeit items, stolen property, unlawful financial instruments, and restricted goods.
16.4 Real estate and property deposits
Vyler does not support real-estate purchases or rental deposits under its standard transaction offering.
17
Account Suspension, Restriction and Termination
Vyler may restrict, suspend or terminate an Account for false registration info, failed verification, suspected fraud, material breach of terms, or security threats. Immediate restrictions may be applied to protect user funds.
18
Personal Information, Privacy and Authorised Reviews
Personal information is processed strictly in accordance with POPIA and the Vyler Privacy Policy. Account information may be reviewed by authorised personnel for dispute handling, fraud prevention, security, and statutory audits. Vyler does not sell personal information.
19
Technical Errors, Outages and Third-Party Services
Vyler relies on integrated services like TradeSafe and Didit. If an outage occurs, reasonable corrective action will be taken. Outages do not automatically penalise either party regarding deadlines.
20
Intellectual Property and Platform Use
The platform software, interface, branding, and documentation are owned by or licensed to CLEARHOLD (Pty) Ltd. Users retain rights to their submitted transaction evidence.
21
Communications and Notices
Vyler communicates electronically through email and in-app notifications. Contact and legal notices: support@vyler.co.za | CLEARHOLD (Pty) Ltd, Reg: 2026/035423/07.

Disclaimers and Limitations of Responsibility
Vyler provides transaction-management and dispute-review functionality. Vyler is not the seller of underlying goods or services and does not guarantee user performance. Verification reduces risk but does not eliminate all fraud risk.
23
Limitation of Liability
To the extent permitted by South African law, Vyler is not responsible for losses arising solely from another user's breach or fraud. Nothing in these Terms excludes liability for gross negligence or statutory remedies that cannot be waived.
24
Indemnity
Users may be responsible for losses or reasonable costs directly caused by their unlawful conduct, fraud, fabricated evidence, or serious breach of these Terms.
25
Changes to the Platform and these Terms

26
Governing Law and Jurisdiction
